Scope and Service.
This page explains the terms by which you may use our online and/or mobile services,
website, and software provided on or in connection with the service (collectively the “Service”).
By accessing or using the Service, you signify that you have read, understood, and agree to be bound by these terms.
whether or not you are a registered user of our Service. These Terms applies to all visitors, users, and others who
access the Service (“Users”).
You may use the Service only if you can form a binding contract with eHUub, and only in compliance with these
Terms and all applicable local, state, national, and international laws, rules and regulations.
The Service is not available to any Users previously removed from the Service by eHUub.
Use of eHUub is void where prohibited. By using the services and registering, you truthfully
and accurately represent and warrant the following:
- All registration information you submit is truthful and accurate;
- You will maintain the accuracy of such information;
- You are 18 years of age or older; and
- Your use of EHUUB does not violate any applicable law or regulation.
In compliance of the Children’s Online Privacy Protection Act (COPPA), any use of the
Service by anyone under 13 is strictly prohibited and in violation of these Terms.
A “User” may be either a “Public User” or a “Registered User” as defined below.
A Registered User can edit public or private documents. Only one Registered User at a time can edit private documents.
Ownership and Operation of eHUb.com.
eHUub.com is owned and operated by eHUub PBC a State of Delaware Corporation.
The terms “eHUub.com”, “eHUub,” ”we,” or ”us” refer to the company eHUub.com.
You must refrain from engaging in any of the following while accessing or using the Service:
- Using the Service for any unlawful purposes or for promotion of illegal activities;
- Uploading or posting any Content (as defined below) in violation of the provisions contained in the "Your License to eHUub" section of these terms;
- Using the Service for the purpose of spamming anyone or transmitting chain letters or other unsolicited mail;
- Accessing or tampering with non-public areas of the Service, eHUub's computer systems, or the technical delivery systems of eHUub's providers;
- Probing, scanning, or testing the vulnerability of any system or network or breach or circumvent any security or authentication measures;
Accessing or searching or attempt to access or search the Service by any means (automated or otherwise) other than through the currently available, published interfaces that are provided by eHUub
(and only pursuant to those terms and conditions), unless you have been specifically allowed to do so in a separate agreement with eHUub (crawling the Service is permissible in accordance with these Terms,
but scraping the Service without the prior consent of eHUub except as permitted by these Terms is expressly prohibited);
- Forging any TCP/IP packet header or any part of the header information in any email or posting, or in any way use the Service to send altered, deceptive or false source-identifying information;
- Collecting or harvest any personally identifiable information, including account names, from the Service;
- Impersonating another person or otherwise misrepresent your affiliation with a person or entity, conducting fraud; or
Interfere with or disrupt (or attempt to do so) the access of any user, host or network, including, without limitation, sending a virus, overloading, flooding, spamming, mail-bombing the Service, or
by scripting the creation of Content in such a manner as to interfere with or create an undue burden on the Service.
If you operate a search engine or robot, or if you republish a significant fraction of all eHUub Content (as we may determine in our reasonable discretion), you must follow these rules:
- You must use a descriptive user agent header;
- You must provide prominent attribution to eHUub;
- You must follow robots.txt at all times; and
- You must make it clear how to contact you, either in your user agent string, or on your website if you have one.
We may make available one or more APIs for interacting with the Service. Your use of any eHUub API is subject to these terms and the EHUub API Rules, which
will be posted before we make these APIs available (as part of these Terms).
We may, without prior notice, change the Service; stop providing the Service or features of the Service, to you or to users generally; or create usage limits for the Service.
We may permanently or temporarily terminate or suspend your access to the Service without notice and liability for any reason, including if in our sole determination you
violate any provision of these Terms, or for no reason. Upon termination for any reason or no reason, you continue to be bound by these Terms.
With the parameters set forth in these Terms, Users may broadcast eHUub pages on other thirdp arty sites like LinkedIn, Facebook, Twitter, etc. using Application Programming
Interface (API), provided that Users are in compliance with the applicable third party terms and conditions.
Code of Conduct
Our Code of Conduct along with the rest of these Terms governs your acceptable use of eHUubs’s services and content, including your rights, obligations and restrictions.
Carefully read the Code of Conduct and regularly check for any updates, to ensure that your use of eHUub is not in violation of our policies. The Code of Conduct is accessible
eHUub has the following classification system for documents that its Users may publish.
- Users may publish three different types of documents: “Public documents,” “Private for Free documents” and “Private for Sale documents.
- ”Public documents” are documents that are accessible to eHUub users as well as well as on the internet outside of eHUub, including via search engines such as Google and Bing.
- Private for Free documents are full documents available to the public with no charge. Only one person (the author) can edit a private document
Private for Sale documents are snapshot of documents available to the public with no charge. Anyone who wishes full access to a Private for Sale document is required to pay the author, a
Registered User who is identified by a unique eHUub username. Only one person (the author) can edit a private document.
User Published Content.
The Service allows Users to publish content such as profile information, instructional and informational materials, photographs, images, comments, questions,
and other content or information (any such materials a User submits, posts, displays, or otherwise makes available on the Service “User Content”).
We claim no ownership rights over User Content that you create. The User Content you create remains yours; however, by sharing User Content through the Service,
you agree to allow others to view, edit, and/or share your User Content in accordance with these Terms (see “User Content License Grants” below).
eHUub has the right (but not the obligation) in its sole discretion to remove any User Content that is shared via the Service.
You agree not to post User Content that:
may create a risk of harm, loss, physical or mental injury, emotional distress, death, disability, disfigurement,
or physical or mental illness to you, to any other person, or to any animal;
- may create a risk of any other loss or damage to any person or property;
- may create a risk of any other loss or damage to any person or property;
- seeks to harm or exploit children by exposing them to inappropriate content, asking for personally identifiable details or otherwise;
- may constitute or contribute to a crime or tort;
contains any information or content that we deem to be unlawful, harmful, abusive, racially or ethnically offensive, defamatory, infringing,
invasive of personal privacy or publicity rights, harassing, humiliating to other people (publicly or otherwise), libelous, threatening, profane, obscene,
or otherwise objectionable;
contains any information or content that is illegal (including, without limitation, the disclosure of insider information under securities law or of
another party’s trade secrets);
- contains any information or content that you do not have a right to make available under any law or under contractual or fiduciary relationships; or
- contains any information or content that you know is not correct and current.
You agree that any User Content that you post does not and will not violate third-party rights of any kind, including without limitation any intellectual
property rights or rights of privacy. eHUub reserves the right, but is not obligated, to reject and/or remove any User Content that eHUub believes, in its sole discretion,
violates these provisions or is otherwise inappropriate for the Service. You understand that publishing your User Content on the Service is not a substitute for registering it
with the U.S. Copyright Office, the Writer’s Guild of America, or any other rights organization.
In connection with your User Content, you affirm, represent and warrant the following:
You have the written consent of each and every identifiable natural person in the User Content to use such person’s name or likeness in the manner contemplated by the
Service and these Terms, and each such person has released you from any liability that may arise in relation to such use.
Your User Content and eHUub’s use thereof as contemplated by these Terms and the Service will not violate any law or infringe any rights of any third party, including but not limited to
any intellectual property rights and privacy rights.
eHUub may exercise the rights to your User Content granted under these Terms without liability for payment of any guild fees, residuals, payments, fees, or royalties payable under
any collective bargaining agreement or otherwise.
- To the best of your knowledge, all of your User Content and other information that you provide to us is truthful and accurate.
eHUub takes no responsibility and assumes no liability for any User Content that you or any other User or third party posts or sends over the Service.
You shall be solely responsible for your User Content and the consequences of posting or publishing it, and you agree that we are only acting as a passive conduit for
your online distribution and publication of your User Content. You understand and agree that you may be exposed to User Content that is inaccurate, objectionable,
inappropriate for children, or otherwise unsuited to your purpose, and you agree that eHUub shall not be liable for any damages you allege to incur as a result of User Content.
Your License to eHUub
By submitting, posting or displaying Content on or through the Service, you grant us a worldwide, non-exclusive, license (with the right to sublicense) to use, copy, reproduce,
process, adapt, modify, publish, transmit, display and distribute such Content in any and all media or distribution methods (now known or later developed).
You agree that this license includes the right for other users of the Service to modify your Content, and for eHUub to make your Content available to others for the publication,
distribution, syndication, or broadcast of such Content on other media and services, subject to our terms and conditions for such Content use. Such additional uses by eHUub or
others may be made with no compensation or an agreed amount that you have agreed to paid (according to the eHUub Document classification system) to you with respect to the
Content that you submit, post, transmit or otherwise make available through the Service.
We may modify or adapt your Content in order to transmit, display or distribute it over computer networks and in various media and/or make changes to your Content as are necessary
to conform and adapt that Content to any requirements or limitations of any networks, devices, services or media.
Additionally, by uploading Content to the site, you warrant, represent and agree that you have the right to grant eHUub the license described above. You also represent, warrant and
agree that you have not and will not contribute any Content that
- infringes, violates or otherwise interferes with any copyright or trademark of another party,
- infringes, violates or otherwise interferes with any copyright or trademark of another party,
- reveals any trade secret, unless the trade secret belongs to you or you have the owner's permission to disclose it,
- infringes any intellectual property right of another or the privacy or publicity rights of another,
- is libelous, defamatory, abusive, threatening, harassing, hateful, offensive or otherwise violates any law or right of any third party,
- creates an impression that you know is incorrect, misleading, or deceptive, including by impersonating others or otherwise misrepresenting your affiliation with a person or entity;
- contains other people's private or personally identifiable information without their express authorization and permission, and/or
contains or links to a virus, trojan horse, worm, time bomb or other computer programming routine or engine that is intended to damage, detrimentally interfere with, surreptitiously intercept or
expropriate any system,
data or information.
eHUub reserves the right in its discretion to remove any Content from the Site, suspend or terminate your account at any time, or pursue any other remedy or relief available under equity or law.
All right, title, and interest in and to the Service (excluding Content provided by users) are and will remain the exclusive property of eHUub and its licensors. The Service is protected by copyright, trademark, and other laws of both the United States and foreign countries. Except as expressly provided herein, nothing in the Terms gives you a right to use the eHUub name or any of the eHUub trademarks, logos, domain names, and other distinctive brand features. Any feedback, comments, or suggestions you may provide regarding the Service is entirely voluntary and we will be free to use such feedback, comments or suggestions as we see fit and without any obligation to you.
The Service may include advertisements, which may be targeted to the Content or information on the Service, queries made through the Service, or other information. The types and extent of advertising by eHUub on the Service are subject to change. In consideration for eHUub granting you access to and use of the Service, you agree that eHUub and its third party providers and partners may place such advertising on the Service or in connection with the display of Content or information from the Service whether submitted by you or others
a. eHUub charges document seller percentage of the sale amount. This dollar amount is determined by the seller’s eStar value. Please see www.eHUub.com/eStar for detail
b. If the credit card is declined, the Registered User agrees that eHUub may make up to five attempts to bill that card over a 30 day period. If the Registered User remains in default after unsuccessful attempts are made to charge the credit card, then the Registered User may report the Registered User’s information regarding unpaid balances to credit bureaus, and that late payments, missed payments, and other defaults may be reflected in the Registered User’s credit report.
c. eHUub may accept late or partial payment as well as payments that reflect “paid in full” or other restrictive endorsements without limiting any of its rights under these Terms of Service.
d. Notice of Automatic Billing. EHUub may send a reminder email to the email address of record for the Registered User before the Billing Dates. The Registered User acknowledges and agrees that this notice is provided as a courtesy only, and EHUub is not obligated or required to provide such notice. Further, the Registered User acknowledges and agrees that (i) his/her failure to read, (ii) his/her inability to receive, or (iii) the failure of EHUub to send the email does not create any liability on the part of EHUub or any third-party service provider.
e. Disputed Charges. The Registered User understands that any disputes regarding a charge to the User’s credit card should be reported immediately to finane@eHUub.com and EHUub will investigate the matter.
f. Account Information.The Registered User agrees to notify EHUub immediately of any changes to the provided credit card number, its expiration date, and/or the billing address, or if the provided credit card expires or is cancelled for any reason. The Registered User understands that if his/her failure to provide EHUub with accurate, complete, and current information results in delinquent payments, eHUub may restrict the User’s ability to purchase other eHUub products, report information about this delinquency to credit bureaus, and/or pursue further collection efforts.
Data Loss and Maintenance
While we aim to prevent premature loss or deletion of data files on the server, we cannot completely anticipate events like server meltdown, hardware or equipment failure, or human-error. Any information or content that you post, communicate, or receive can be deleted or “lost” at any time without notice, and without the possibility of recovery. We are not a data storage company, instead users are encouraged to maintain back up files of anything they deem important.
Any medically related content, whether User Content or otherwise found on the Service, is not intended to be medical advice or instructions for medical diagnosis or treatment, and no physician-patient relationship is, or is intended to be, created. If you think you may have a medical emergency, call your doctor or your local emergency number immediately.
The Service is not a substitute for professional medical advice, examination, diagnosis, or treatment. You should not delay or forego seeking treatment for a medical condition or disregard professional medical advice based on any User Content or other content provided by or otherwise found on the Service. The Service is provided for informational purposes only, with no assurance that the any content found on the Service is true, correct, or accurate. Termination Or Restriction Of Access
eHUub reserves the right, in its sole discretion, to terminate your access to any or all of eHuub services at any time, without notice. These Terms will remain in effect even after termination of access.
Trademarks, logos, copyrighted material, or other intellectual property or proprietary information (collectively referred to as “content”) appearing on or through eHUub are the property of eHUub or the party that provided the content to eHUub, and subject to protection under applicable U.S. and foreign intellectual property laws and treaties. eHUub and any party that provided content to eHUub retain all rights with respect to any of their respective content appearing on or through the services. Reproduction of content owned by eHUub or any other party is strictly prohibited.
For the purposes of these Terms, “Intellectual Property Rights” means all patent rights, copyright rights, mask work rights, moral rights, rights of publicity, trademark, trade dress and service mark rights, goodwill, trade secret rights and other intellectual property rights as may now exist or hereafter come into existence, and all applications therefore and registrations, renewals and extensions thereof, under the laws of any state, country, territory, or other jurisdiction.
Copyright Policy and DMCA Notice
eHUub’s policy is to respond to alleged infringement notices that comply with the Digital Millennium Copyright Act of 1998 (“DMCA”).
You may not reproduce or use the trademarks, logos, copyrighted work, or other intellectual property or proprietary information belonging to others without obtaining the prior written consent of the owner of such proprietary rights. It is the policy of eHUub to terminate user privileges of any user who repeatedly infringes the copyright of others upon eHUub having received prompt notification by the copyright owner or the copyright owner’s legal agent.
If you believe that your copyrighted work has been copied and is accessible on or through eHUub’s services in a way that may infringe your copyright or any other intellectual property rights, please contact our designated agent at the following address:

Content posted by users may contain links to other websites or third-party platforms. eHUub is not responsible for the content, accuracy or opinions expressed on such websites or platforms. Linked third-party content on the services does not imply approval or endorsement of the linked content by eHUub. When you access these third-party sites, you do so at your own risk. eHUub takes no responsibility for third-party advertisements that may be posted on or through the services or for the goods or services provided by such advertisers.
Disclaimer of Warranties
eHUub strives to maintain service, safe and secure, but due to the evolving nature of technology, you use and access the service at your own risk.
You agree that you assume the entire cost of all necessary servicing, repair or correction in the event of any loss or damage arising from your use of eHUub or any content you come across on or in connection with eHUub.
To the maximum extent permitted by applicable law, the Service is provided to you “AS IS” or “AS AVAILABLE” basis without warranties of any kind, either express or implied (including any implied warranties of merchantability, and fitness for a particular purpose)

i) eHUub or the server will always be uninterrupted, secure, or error-free;

iii) Any content that you come across on or in connection with eHUub will be accurate or reliable; or
iv) That eHUub will or will not make changes or improvements at any time.
Limitation of Liability
IN NO EVENT WILL EHUUB AND ITS AFFILIATES, OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY LOST PROFITS OR OTHER CONSEQUENTIAL, INCIDENTAL, SPECIAL, PUNITIVE, EXEMPLARY, OR INDIRECT DAMAGES ARISING IN CONNECTION WITH THESE TERMS OR EHUUB, EVEN IF EHUUB HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. EHUUB’S AGGREGATE LIABILITY FOR ALL CLAIMS ARISING FROM THESE TERMS OR USE OF EHUUB, WILL AT ALL TIMES BE LIMITED TO THE AMOUNT YOU PAID EHUUB IN THE PAST TWELVE MONTHS (12 MONTHS). Certain jurisdictions do not allow some of the above limitations, so those they may not apply to you. In such an event, eHUub’s liability will be limited to the fullest extent permitted.
If anyone brings a claim against us arising out of your use of or activities on eHUub, you agree to indemnify and hold harmless eHUub, its subsidiaries, affiliates, service providers, and their respective employees, agents, officers, directors, and contractors, from all damages, loss, liability, costs, and expenses of any kind (including reasonable attorneys’ fees) relating to such a claim. We do not control or direct the actions of users on eHUub. We are not responsible for, without limitation:
i) The content or information users share or transmit on eHUub;
ii) The content or information users may experience on eHUub, however offensive, obscene, unlawful, or objectionable; or
iii) The online or offline conduct of users.
Dispute Resolution Policy
You agree to the following dispute resolution policy in connection with any potential claims or disputes arising from these Terms or your use of eHUub.
i) Informal Negotiations: in a dispute between you and eHUub, you will attempt to informally negotiate a potential settlement or resolution to the dispute.
ii) Online Arbitration: in the event that informal negotiations are unsuccessful, you agree to follow the American Arbitration Association’s online arbitration procedures to resolve the dispute.
iii) Binding Arbitration: if for any reason online arbitration is unsuccessful or unavailable, you agree to submit to binding arbitration according to the Commercial Arbitration Rules of the American Arbitration Association, conducted in the State of Washington or such other location mutually agreed to by eHUub and you, provided that the foregoing shall not prevent eHUub from seeking injunctive relief in a court of competent jurisdiction.
Changes to Terms
The laws of the State of Delaware, United States of America govern these Terms, without regard to conflict of law provisions. In the event of a dispute, you agree that the laws of the State of Delaware shall govern the dispute.
eHUub is controlled, owned, and operated in the State of Delaware. If you install, access, or use eHUub from any other location in the world, you do so at your own risk and you are responsible for the compliance of your own jurisdiction’s laws and regulations.
The failure of eHUub to exercise or enforce any part of these Terms shall not operate as a continued waiver.
These Terms operates to the fullest extent permissible by law. If any part of these Terms is unlawful, void or unenforceable, that part will be deemed severable and will not affect the validity and enforceability of any remaining provisions.
